David P. Kelin is an Associate in the Real Estate Department at Sills Cummis & Gross P.C. He represents institutional and private lenders, debt funds, borrowers, developers, and investors in complex commercial real estate finance and investment transactions nationwide.
Mr. Kelin’s practice is centered on the structuring, negotiation, and documentation of mortgage, mezzanine, and construction loans, including CMBS, portfolio, and agency financings. He regularly advises on intercreditor arrangements, preferred equity structures, and loans secured by direct and indirect equity interests across multifamily, retail, hospitality, mixed-use, office, and self-storage assets, as well as affordable housing.
In addition to his finance work, Mr. Kelin represents purchasers and sellers in acquisitions and dispositions, negotiating and drafting purchase and sale agreements, and coordinating diligence to align transaction terms with financing structures and investment objectives. Further, Mr. Kelin guides clients through all phases of a transaction—from structuring and term sheet through diligence, documentation, and closing—and advises on loan modifications and restructurings.
While attending Benjamin N. Cardozo School of Law, Mr. Kelin was a Staff Editor on the Arts and Entertainment Law Journal and an editor for the New York Real Estate Reporter.
